Introduction

These Terms and Conditions (“Terms”) govern the access to and use of the SmartCollect platform and services provided by:

SmartCollect is a technology platform that facilitates recurring payment collections between businesses and their customers.

By accessing or using SmartCollect, you agree to be bound by these Terms and Conditions.

If you do not agree to these Terms, you must not use the platform.

1. DEFINITIONS

For the purpose of these Terms:

“Platform” refers to the SmartCollect technology system used to automate recurring payments.

“Company” refers to Lifebox Technologies Private Limited.

“Merchant” refers to any institute, business, lender, service provider, association, or organization using SmartCollect to collect payments.

“Payer” refers to any individual or entity making payments through SmartCollect.

“Channel Partner” refers to individuals or organizations introducing merchants or customers to the platform for business collaboration.

“Services” refers to the payment collection technology, dashboards, integrations, and related infrastructure provided by SmartCollect.

2. NATURE OF SERVICES

SmartCollect provides technology infrastructure for automated payment collections.

The platform enables merchants to:

  • Schedule recurring payments

  • Collect instalments or subscriptions

  • Manage payment schedules

  • Track payment status

SmartCollect does not act as a lender, financial institution, or payment settlement entity.

SmartCollect operates solely as a technology facilitator.

SmartCollect is NOT a Payment Aggregator (PA) or Payment Gateway (PG).

SmartCollect does not process, settle, or hold funds on behalf of users.

The platform only provides technology infrastructure that enables merchants and their customers to automate payment collections.

SmartCollect does not provide lending, credit underwriting, or financial advice.

3. PAYMENT FLOW

SmartCollect does not hold, store, or manage customer funds.

All payments processed through SmartCollect are handled by RBI-authorized payment aggregation partners.

Funds flow directly:

Payer → Payment System → Merchant Bank Account

SmartCollect does not take custody of funds at any point during the payment lifecycle.

The payment aggregation partners' respective terms and conditions shall apply wherever applicable.

SmartCollect integrates with RBI-authorised payment infrastructure providers including but not limited to Decentro, Razorpay, PayU and other regulated payment partners as may be integrated from time to time.

Users acknowledge that payments processed through the platform are subject to the respective terms, policies, and operational procedures of such payment partners.

SmartCollect has no control over the internal systems, policies, approval processes, or operational decisions of such payment partners.

4. PAYMENT SETTLEMENT

All payment settlements are governed by the applicable rules under the Payment and Settlement Systems Act, 2007 and related regulatory guidelines issued by the Reserve Bank of India (RBI).

Settlement timelines, reconciliation processes, chargebacks, and payment processing are handled entirely by the underlying payment partners and banking systems.

SmartCollect shall not be responsible for any settlement delays, payment reversals, bank processing failures, or operational issues caused by payment partners or financial institutions.

5. USER ELIGIBILITY

Users of SmartCollect may include:

  • Educational institutions

  • Businesses offering subscriptions

  • Lenders or financing entities

  • Service providers with recurring payments

  • Customers making payments

  • Channel partners

Users must:

  • Be legally competent to enter into contracts

  • Have a valid bank account in India

  • Provide accurate and truthful information

If the payer is a minor, the payment must be authorized by a parent or legal guardian.

6. USER RESPONSIBILITIES

Users agree to:

  • Provide accurate and up-to-date information

  • Use the platform only for lawful purposes

  • Not attempt to manipulate payment systems

  • Maintain the confidentiality of account access

Merchants are responsible for:

  • Their own products or services

  • Payment obligations of their customers

  • Customer communication regarding payments

  • Any disputes arising from their services


SmartCollect is not responsible for the quality, delivery, or outcomes of services offered by merchants.

Examples may include but are not limited to:

  • course quality

  • loan defaults

  • service disputes

  • delivery failures

    Users must also comply with the policies and operational requirements of payment partners, banks, and financial institutions involved in the transaction process.

7. PAYMENT MANDATES

SmartCollect supports recurring payment authorizations including:

  • UPI AutoPay

  • eNACH

  • NACH

  • Net Banking

  • Debit-based mandates

  • Other approved payment systems

Payers authorize payments by approving a mandate through their bank.

Once approved, payments may be automatically debited based on the agreed schedule.

Users may cancel mandates by contacting the merchant or their bank.

SmartCollect does not directly cancel mandates.

8. FEES AND CHARGES

Any service fees or charges applicable to merchants, customers, or partners shall be agreed separately at the time of onboarding.

SmartCollect reserves the right to impose additional charges in situations including but not limited to:

  • late payments

  • payment failures

  • operational costs

  • platform usage charges

Banks, payment partners, or merchants may also apply additional charges, including:

  • late fees

  • penalties

  • processing charges

  • registration fees

SmartCollect shall not be responsible for such charges.

SmartCollect may apply additional operational or service charges to merchants or payers in certain situations such as failed transactions, late payments, mandate failures, or additional platform services where applicable.

9. REFUNDS

SmartCollect does not process or approve refunds.

All refunds must be handled directly by the merchant or service provider.

SmartCollect’s service fees are non-refundable under any circumstances.

10. DATA PROTECTION

SmartCollect collects limited information required for platform functionality, including:

  • Name

  • Email

  • Phone number

  • Payment history

  • Account usage data

  • KYC information where required

Payment data may also be processed through third-party payment partners.

All data is stored and processed in accordance with applicable Indian data protection laws.

Users consent to the collection and use of data for the purposes of providing services and improving platform performance.

SmartCollect may process, transfer, store, or share data with authorised service providers, payment partners, vendors, or regulatory authorities where necessary to provide services, maintain platform functionality, comply with legal obligations, or improve service quality.

11. CHANNEL PARTNER PROGRAM (DSA)

SmartCollect may collaborate with channel partners (DSAs) who introduce merchants or users to the platform.

Channel partners may receive commercial compensation under separate written agreements.

Channel partners must:

  • represent the platform accurately

  • avoid misleading claims

  • comply with applicable laws

  • maintain confidentiality

The Company reserves the right to terminate channel partner access if misuse or misrepresentation occurs.

Any merchant, institute, or business introduced to SmartCollect through a Channel Partner or Direct Selling Agent (“DSA”) must complete the standard onboarding process with the Company.

All information provided by the Channel Partner or the referred entity must be submitted in written form and shall be subject to verification by the Company.

The Company reserves the right to review, validate, and approve all onboarding details including but not limited to:

  • business information

  • authorized representatives

  • bank account details

  • payment collection structure

  • agreed commercial terms

No merchant or business shall be considered onboarded to the SmartCollect platform unless the Company has completed its internal verification process and confirmed the onboarding in writing.

The Company shall not be responsible for any commitments, representations, or assurances made by Channel Partners or DSAs that are not formally approved and documented by the Company.

Channel Partners and DSAs are required to ensure that all information shared with potential merchants or clients is accurate and aligned with the official terms of the SmartCollect platform.

12. MARKETING AND PUBLICITY

SmartCollect may display the names, logos, testimonials, or case studies of users and merchants for marketing purposes.

Such usage shall be limited to promotional or informational purposes unless otherwise agreed.

Mobile Applications

SmartCollect services may also be accessed through mobile applications published under the name SmartCollect or under the parent company name Lifebox Technologies Private Limited.

Users accessing SmartCollect through mobile applications agree that these Terms and Conditions apply equally to the use of such applications.

The Company may update, modify, suspend, or discontinue features within the mobile applications at any time without prior notice.

Users must download SmartCollect applications only from official app distribution platforms.

SmartCollect shall not be responsible for issues arising from the use of modified, unauthorized, or unofficial versions of the application.

13. ACCOUNT SUSPENSION

SmartCollect may suspend or terminate accounts if:

  • fraudulent activity is suspected

  • platform misuse occurs

  • incorrect information is provided

  • regulatory requirements demand suspension

  • the user violates these Terms


14. CHANGES TO THESE TERMS

SmartCollect reserves the right to update, modify, or revise these Terms and Conditions, Privacy Policy, and Refund & Cancellation Policy at any time to reflect changes in our services, legal requirements, or operational practices.

Any updates will be published on this website with the revised “Last Updated” date.

Users are encouraged to review these pages periodically.

Continued use of the SmartCollect platform after updates will be considered acceptance of the revised terms.

15. LIMITATION OF LIABILITY

SmartCollect shall not be liable for:

  • merchant service disputes

  • course or service quality issues

  • loan defaults

  • payment failures caused by banks

  • network outages

  • technical disruptions

  • losses resulting from third-party services

SmartCollect shall not be responsible for service interruptions caused by server failures, infrastructure outages, cloud service downtime, internet disruptions, or failures in third-party payment infrastructure.

The platform is provided on a best-effort basis and SmartCollect does not guarantee uninterrupted or error-free service.

16. INDEMNIFICATION

Users agree to indemnify and hold harmless Lifebox Technologies Private Limited from any claims, damages, liabilities, or losses arising from misuse of the platform.

17. GOVERNING LAW

These Terms shall be governed by the laws of India.

18. DISPUTE RESOLUTION

Any disputes shall first be resolved amicably.

If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

Seat of arbitration: Mumbai, India
Language: English.

19. JURISDICTION

Courts located in Mumbai, Maharashtra shall have exclusive jurisdiction.
